End User License Agreement
By installing, copying or otherwise using the software product, you agree to be bound by the terms of this agreement.
Copyright: This software product, and any files that are delivered to you by Netcetera, as well as any printed materials and any on-line or electronic documentation, and any and all copies and derivative works of such software program and manual is the copyrighted work of Netcetera or its licensors.
License Grant: Netcetera grants you a free of charge non-exclusive license to use the software product. This agreement will also govern any software upgrades provided by Netcetera that replace and/or supplement the original software program, unless such upgrades are accompanied by a separate license, in which case the terms of that license will govern.
Termination: If you breach this agreement your right to use the software product will terminate immediately and without notice, but all provisions of this agreement except the License Grant will survive termination and continue in effect. Upon termination, you must destroy all copies of the software product.
Disclaimer of Warranty: Unless required by applicable law or agreed to in writing, Netcetera provides the software program and any of its associated service on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either expressed or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. You are solely responsible for determining the appropriateness of using the software product and assume any risks associated with your exercise of permissions under this license.
Limitation of Liability: Except as required by law, Netcetera and its distributors, directors, licensors, contributors and agents will not be liable for any indirect, special, incidental, consequential or exemplary damages arising out of or in any way relating to this agreement or the use of or inability to use the software product, including without limitation damages for loss of goodwill, work stoppage, lost profits, loss of data, and computer failure or malfunction, even if advised of the possibility of such damages and regardless of the theory (contract, tort or otherwise) upon which such claim is based.
Dispute Resolution and Governing Law: This license agreement is governed by and will be construed under the laws of Switzerland without regard to choice of law principles. Any arbitration shall be initiated in Zurich, Switzerland.
